1. Acceptance of Terms

By accessing and using Word Counter Pro ("the Application"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use this Application.

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Lusquan B.V. ("we," "us," or "our"), concerning your access to and use of the Word Counter Pro application.

2. User Eligibility

You must be at least 18 years of age to use this Application. By using the Application, you represent and warrant that:

• You have the legal capacity to agree to these Terms
• You are not a minor in your jurisdiction
• You will not access the Application through automated or non-human means
• You will not use the Application for any illegal or unauthorized purpose
• Your use of the Application will not violate any applicable laws or regulations

3. License to Use

Subject to your compliance with these Terms, Lusquan B.V. grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Application for your personal, non-commercial use.

This license does not include:

• Resale or commercial use of the Application or its contents
• Collection and use of any product listings or descriptions
• Derivative use of the Application or its contents
• Use of data mining, robots, or similar data gathering and extraction tools
• Any use of the Application beyond the scope of the license granted herein

4. Prohibited Activities

You may not access or use the Application for any purpose other than that for which we make it available. The Application may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Application, you agree not to:

1. Systematically retrieve data or other content to create or compile a collection
2. Trick, defraud, or mislead us or other users
3. Circumvent, disable, or interfere with security-related features
4. Disparage, tarnish, or otherwise harm us or the Application
5. Use any information obtained from the Application to harass, abuse, or harm another person
6. Upload or transmit viruses, Trojan horses, or other malicious code
7. Attempt to bypass any measures designed to prevent or restrict access
8. Use the Application for any unauthorized commercial purpose

5. Intellectual Property Rights

The Application and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Lusquan B.V. and its licensors. The Application is protected by copyright, trademark, and other laws of both the Netherlands and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Lusquan B.V.

You retain all rights to the text content you upload or input into the Application. We do not claim ownership over your content.

6. User Data and Privacy

We will maintain certain data that you transmit to the Application for the purpose of managing the performance of the Application, as well as data relating to your use of the Application.

You are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Application. You agree that we shall have no liability to you for any loss or corruption of any such data.

7. Limitation of Liability

In no event will Lusquan B.V., its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Application.

To the maximum extent permitted by law, we exclude all representations, warranties, and conditions relating to our Application and the use of this Application.

8. Governing Law

These Terms shall be governed by and defined following the laws of the Netherlands. Lusquan B.V. and yourself irrevocably consent that the courts of Amsterdam shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Application after any revisions become effective, you agree to be bound by the revised terms.

10. Termination

We may terminate or suspend your access to the Application immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Application will immediately cease. If you wish to terminate your agreement, you may simply discontinue using the Application.
